Sophisticated Payment Provision Taxes
TAXES: SELLER'S price does not include any federal, state or local taxes based upon or measured by sales or use, or services furnished under this Contract, any property taxes on delivered materials, or any tangible or intangible property tax, documentary stamp tax or other similar tax applicable on secured transactions, notes or other evidences of indebtedness. All such taxes shall be paid by BUYER who shall hold SELLER harmless and indemnify SELLER for all of those taxes required to be paid. In lieu thereof, BUYER shall provide a tax exempt certificate acceptable to the taxing authorities. Further, any taxes payable or paid by or assessed against SELLER will be billed to and paid by the BUYER upon presentation of SELLER'S invoice.
